These Terms and Conditions govern your access to and use of lgcies.com, including any related website, mobile experience, application, software, artificial intelligence features, memory tools, voice tools, story-generation tools, collaborator features, and related services offered by us. By accessing or using lgcies.com, you agree to these Terms. If you do not agree, do not use the service. ________________________________________ 1. About Lgcies Lgcies is a digital legacy and memory-preservation platform. The service allows users to record, write, organize, preserve, and generate stories, memories, timelines, reflections, chapters, media, and related legacy content. The service may include artificial intelligence tools that help ask follow-up questions, organize memories, draft stories, generate chapter narratives, summarize user content, and provide prompts based on information submitted by users. Lgcies is not a legal, medical, financial, psychological, archival, estate-planning, genealogical, or professional advisory service. Content generated through the service is provided for personal, family, historical, storytelling, and memory-preservation purposes only. ________________________________________ 2. Eligibility You must be at least 18 years old to create an account or use the service on your own behalf. If you use the service on behalf of another person, family member, organization, estate, or legal entity, you represent that you have the legal authority and consent needed to do so. You may not use the service if you are prohibited from doing so under applicable law. ________________________________________ 3. Accounts and Security You may need to create an account to use certain features of lgcies.com. You are responsible for: • keeping your login credentials confidential • all activity that occurs under your account • ensuring that the information you provide is accurate and current • promptly notifying us of any unauthorized access or security issue We are not responsible for losses caused by your failure to protect your account credentials. We may suspend or terminate your account if we believe your account is being misused, compromised, used unlawfully, or used in violation of these Terms. ________________________________________ 4. User Content "User Content" means any content, information, material, data, text, audio, voice recording, image, video, document, family history, story, answer, memory, timeline entry, comment, message, uploaded file, collaborator input, or other material you submit, upload, record, create, store, or transmit through the service. You retain ownership of your User Content, subject to the rights and licenses granted in these Terms. You are solely responsible for your User Content and for ensuring that you have the right to upload, submit, record, share, or process it through the service. You represent and warrant that: • you own your User Content or have the necessary permissions, rights, licenses, and consents to use it • your User Content does not violate any law, contract, privacy right, publicity right, intellectual property right, or other third-party right • your User Content does not contain material that is unlawful, abusive, defamatory, threatening, exploitative, invasive of privacy, or otherwise harmful • if your User Content includes information about another person, you have the right or appropriate consent to provide that information to the service ________________________________________ 5. License You Grant to Lgcies, LLC. To operate, provide, maintain, secure, improve, and develop the service, you grant Lgcies a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, copy, reproduce, process, transmit, display, format, adapt, modify, analyze, create derivative works from, and otherwise use your User Content as reasonably necessary for the purposes described in these Terms. This license allows us to: • provide the service to you • save and organize your memories, stories, recordings, uploaded files, and related content • generate questions, prompts, summaries, chapters, timelines, story drafts, and other outputs • process audio, voice, image, video, document, and text files • provide collaborator, sharing, family, and invitation features • back up, secure, troubleshoot, test, and maintain the service • detect, prevent, and address fraud, abuse, security issues, technical issues, and violations of these Terms • improve, personalize, evaluate, and develop the service • use aggregated, anonymized, or de-identified data for analytics, product improvement, research, development, reporting, and business purposes This license continues for as long as needed to provide the service, comply with legal obligations, resolve disputes, enforce agreements, maintain security, and preserve legitimate business records. If you delete your account or User Content, we will handle deletion in accordance with our data retention practices and applicable law. ________________________________________ 6. Data Use and Artificial Intelligence Processing You understand and agree that Lgcies may use technology, software, service providers, artificial intelligence systems, machine learning tools, speech-to-text tools, transcription tools, text-generation tools, analytics tools, cloud storage providers, and related vendors to process User Content and provide the service. This may include processing your User Content to: • generate personalized questions and follow-up prompts • create summaries, previews, chapters, timelines, and stories • transcribe audio or voice recordings • identify themes, dates, people, events, relationships, and memories • organize life events and family-history content • improve user experience and platform functionality • monitor performance, quality, safety, and reliability • prevent misuse and protect the service You grant Lgcies permission to use your User Content and related data for these purposes. Unless otherwise stated in a separate written agreement or privacy notice, Lgcies may use aggregated, anonymized, or de-identified information derived from use of the service to improve the platform, develop new features, train or evaluate internal systems, conduct analytics, and support business operations. Lgcies will not intentionally sell your personally identifiable User Content to third parties as a standalone product. However, we may share data with service providers, vendors, infrastructure providers, AI providers, payment processors, analytics providers, legal advisors, business partners, successors, or authorities when needed to provide the service, operate the business, comply with law, enforce rights, protect users, or complete a business transaction. ________________________________________ 7. Sensitive Personal Information The service may allow you to submit deeply personal information, including memories, family details, personal relationships, health-related stories, religious or cultural history, political experiences, photos, voice recordings, and other sensitive information. You should not submit sensitive information unless you are comfortable with it being processed as part of the service. You are responsible for deciding what to include, what to omit, and what to share with collaborators or family members. If you submit information about another person, you are responsible for obtaining any consent required by law or by that person's reasonable privacy expectations. ________________________________________ 8. Voice, Audio, Image, and Likeness Rights If you upload or record voice, audio, images, video, likeness, or other biometric-like material, you represent that you have the right to do so. You grant Lgcies permission to process these materials to provide service features, including transcription, storage, playback, organization, story generation, memory generation, and related functionality. You may not upload voice recordings, photos, videos, or likenesses of another person unless you have the right to do so. Certain features, including any feature that simulates, synthesizes, or generates new audio, video, or narrative content in a person's voice, style, or likeness ("Voice Modeling Features"), require your separate, explicit opt-in consent through the Voice Preservation settings in your account, in addition to your agreement to these Terms. You may withdraw this consent at any time through your account settings, which will stop future use of your voice or likeness in Voice Modeling Features going forward. Where required by applicable right of publicity, likeness, or biometric privacy law, this separate opt-in is intended to serve as your express consent to that use. If a Voice Modeling Feature would involve the voice or likeness of a user who has passed away, that use is governed by the Memorialization Settings and consents that user put in place under Section 10, and, where required by law, may also require the consent of an authorized representative of that user's estate. Lgcies may provide features that simulate, preserve, organize, analyze, or reproduce aspects of a person's voice, story, style, memories, or likeness in accordance with this Section. These features should not be used to deceive, impersonate, defame, exploit, harass, or mislead any person. We may restrict, suspend, or remove content that we believe misuses voice, likeness, identity, or personal data. ________________________________________ 9. Collaborators, Invitations, and Family Sharing The service may allow users to invite collaborators, family members, friends, caregivers, or other trusted individuals to contribute to a legacy project. You are responsible for deciding whom to invite and what access to grant. Collaborators are responsible for the content they submit. By accepting an invitation or contributing to a project, a collaborator grants Lgcies the same rights and licenses described in these Terms for any content the collaborator submits. Lgcies is not responsible for disputes between users, relatives, collaborators, estates, heirs, family members, invitees, or third parties regarding ownership, access, consent, accuracy, privacy, inheritance, or control of content. We may remove, restrict, or suspend access to a project if we receive a credible claim of unauthorized access, misuse, legal violation, privacy violation, or ownership dispute. ________________________________________ 10. Memorialization and Account Access After Death The service may allow you to choose, in Settings, what happens to your account and User Content if you pass away (the "Memorialization Settings"). You may choose to designate a trusted individual (a "Designated Contact") who may access, read, and download your legacy project after your death, or you may choose to keep your account and User Content private with no one granted access ("Preserve Only"). A. Your Choice Controls Your selection in the Memorialization Settings reflects your wishes for your account. You are responsible for keeping this selection up to date and for accurately identifying your Designated Contact, if any. B. Verification Before Access Is Granted Before granting access to a Designated Contact, we may require reasonable proof that you have passed away, which may include a death certificate, obituary, court document, or other documentation we consider sufficient in our discretion. We may deny, delay, or request additional verification of any request, and we are not obligated to grant access until we are reasonably satisfied that the request is valid. C. Scope of Access Granted If you have selected "Give someone access," your Designated Contact may, upon verification, access, view, and download the User Content in your legacy project. Access granted under this section does not transfer ownership of your User Content or any intellectual property rights, and does not expand any rights beyond what is described in these Terms. Your Designated Contact's use of any content they access remains subject to these Terms, including Section 8 (Voice, Audio, Image, and Likeness Rights) and Section 12 (Acceptable Use). If you have selected "Preserve Only," or if you have not made a selection, we will not knowingly grant a third party access to your account or User Content following your death, except as required by law or as described in Section 27 (Data Deletion and Retention). D. Disputes and Competing Claims We are not responsible for resolving disputes between family members, heirs, collaborators, or other individuals regarding access to, ownership of, or control over a deceased user's account or User Content. If we receive competing or conflicting claims, we may suspend, restrict, or delay access to the account until the dispute is resolved to our reasonable satisfaction, and we may require a court order, letters of administration, or other legal documentation before granting or continuing access. E. Not a Substitute for Estate Planning The Memorialization Settings are an account-level feature of the service and are not a will, trust, or other legally binding estate planning document, and do not override any legal rights held by an executor, administrator, heir, or other legally authorized representative of your estate. We encourage you to address the disposition of your digital accounts and content in your broader estate planning with a qualified professional. F. Limitation of Liability We will make reasonable efforts to honor your Memorialization Settings, but we do not guarantee that access will be granted or withheld in every circumstance, including due to technical issues, incomplete information, legal requirements, or competing claims. Our liability in connection with this Section is subject to Section 23 (Limitation of Liability). ________________________________________ 11. Accuracy of Content and AI Outputs The service may generate AI-assisted questions, summaries, stories, chapters, timelines, labels, titles, themes, and other outputs. AI-generated content may be incomplete, inaccurate, offensive, repetitive, misleading, or inconsistent with the user's intent. You are responsible for reviewing, editing, approving, and verifying any content before relying on it, sharing it, publishing it, printing it, or presenting it as accurate. Lgcies does not guarantee that AI-generated content will be accurate, historically correct, complete, legally appropriate, emotionally appropriate, or suitable for any particular purpose. ________________________________________ 12. Acceptable Use You agree not to use the service to: • violate any law or regulation • infringe any intellectual property, privacy, publicity, or contractual right • upload content that you do not have permission to use • impersonate another person or misrepresent your identity • deceive others using AI-generated content, voice, likeness, or stories • harass, threaten, abuse, exploit, defame, or harm another person • upload malware, harmful code, or destructive files • interfere with the operation, security, availability, or integrity of the service • scrape, copy, reverse engineer, or misuse the platform • attempt unauthorized access to any account, system, project, or data • use the service to create unlawful, harmful, fraudulent, or misleading content • overload, damage, disable, or impair the service • use automated systems to access the service without permission • sell, rent, sublicense, or commercially exploit the service without written permission We may investigate and take action against any use that we believe violates these Terms. ________________________________________ 13. Content Removal and Account Suspension We may remove, restrict, disable, or refuse to display User Content if we believe it: • violates these Terms • violates applicable law • infringes another person's rights • creates legal, privacy, reputational, technical, or security risk • is abusive, harmful, deceptive, or inappropriate • is the subject of a credible dispute or complaint We may suspend or terminate your account or access to the service at any time if we believe you violated these Terms, created risk, misused the service, failed to pay required fees, or engaged in conduct harmful to Lgcies, users, or third parties. ________________________________________ 14. Fees, Payments, Subscriptions, and Trials Certain features may require payment, a subscription, credits, usage limits, or access to a paid plan. You agree to pay all fees shown at the time of purchase. Unless otherwise stated: • fees are charged in advance • subscriptions renew automatically until canceled • you are responsible for canceling before renewal • payments are non-refundable except where required by law or expressly stated by us • we may change pricing, plans, features, limits, or billing terms with notice where required We may suspend or limit access to paid features if payment fails, is reversed, disputed, or overdue. ________________________________________ 15. Beta Features and Changes to the Service Some features may be experimental, incomplete, or offered as beta features. We may add, modify, suspend, limit, or discontinue any part of the service at any time. We do not guarantee that any feature, storage option, AI tool, collaborator tool, sharing option, export tool, or content format will always be available. ________________________________________ 16. Storage, Backups, and Data Loss Lgcies may provide storage for User Content, but we do not guarantee permanent storage, uninterrupted access, or error-free preservation of content. You are responsible for maintaining your own copies of important content. We are not liable for loss, corruption, deletion, unauthorized access, or failure to store User Content except where liability cannot be excluded by law. We may impose storage limits, file-size limits, upload limits, usage limits, retention limits, or other technical restrictions. ________________________________________ 17. Intellectual Property of Lgcies The service, website, software, design, layout, features, user interface, branding, logos, trademarks, workflows, prompts, systems, technology, databases, documentation, and other materials owned or licensed by Lgcies are protected by intellectual property and other laws. Except for the limited right to use the service under these Terms, you receive no ownership rights in Lgcies or its intellectual property. You may not copy, modify, distribute, sell, lease, reverse engineer, exploit, or create competing products using Lgcies materials, systems, or content except as expressly allowed by law or by written permission from us. ________________________________________ 18. Feedback If you provide suggestions, ideas, comments, improvements, feature requests, or other feedback about the service, you grant Lgcies a worldwide, perpetual, irrevocable, royalty-free license to use, copy, modify, publish, distribute, commercialize, and otherwise exploit that feedback without restriction or compensation to you. ________________________________________ 19. Third-Party Services The service may rely on or link to third-party services, including hosting providers, cloud storage services, AI providers, transcription providers, payment processors, analytics tools, authentication providers, communication tools, or external websites. We are not responsible for third-party services, content, policies, actions, failures, errors, delays, security, availability, or data practices. Your use of third-party services may be governed by their own terms and policies. ________________________________________ 20. Privacy Your use of the service is also subject to our Privacy Policy, which explains how we collect, use, disclose, retain, and protect information. If there is a conflict between these Terms and the Privacy Policy regarding privacy practices, the Privacy Policy will control for that issue. You should not use the service unless you agree to the collection, use, processing, and disclosure of information as described in these Terms and the Privacy Policy. ________________________________________ 21. No Professional Advice Lgcies does not provide legal, medical, psychological, financial, tax, archival, estate-planning, religious, or professional advice. Any content generated by the service is for personal storytelling, memory preservation, reflection, and family-history purposes only. You should consult qualified professionals for advice regarding legal, medical, financial, estate, psychological, or other professional matters. ________________________________________ 22. Disclaimers The service is provided "as is" and "as available." To the fullest extent allowed by law, Lgcies disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, security, and uninterrupted operation. We do not guarantee that: • the service will be secure, uninterrupted, available, or error-free • User Content will never be lost, damaged, accessed, or corrupted • AI-generated content will be accurate, complete, appropriate, or reliable • defects or errors will be corrected • the service will meet your expectations or requirements • any legacy project, story, chapter, timeline, export, or output will be preserved permanently ________________________________________ 23. Limitation of Liability To the fullest extent allowed by law, Lgcies and its owners, officers, directors, employees, contractors, agents, affiliates, vendors, licensors, successors, and assigns will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, including lost profits, lost data, loss of goodwill, emotional distress, reputational harm, business interruption, data loss, content loss, or unauthorized access. To the fullest extent allowed by law, our total liability for any claim arising out of or relating to the service or these Terms will not exceed the greater of: • the amount you paid to Lgcies for the service in the three months before the event giving rise to the claim; or • $100 This limitation does not apply to liability that cannot be limited or excluded under applicable law, including liability for our fraud, gross negligence, or willful misconduct, or for violations of applicable consumer protection laws, including the Florida Deceptive and Unfair Trade Practices Act. Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, our liability will be limited to the maximum extent allowed by law. ________________________________________ 24. Indemnification You agree to defend, indemnify, and hold harmless Lgcies and its owners, officers, directors, employees, contractors, agents, affiliates, vendors, licensors, successors, and assigns from and against any claims, demands, actions, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or related to: • your use of the service • your User Content • your violation of these Terms • your violation of any law or regulation • your violation of any third-party right • your failure to obtain necessary consent • disputes involving collaborators, relatives, invitees, estates, heirs, or third parties • misuse of voice, likeness, identity, photos, recordings, stories, or personal information ________________________________________ 25. Copyright and Intellectual Property Complaints If you believe content on the service infringes your copyright or intellectual property rights, contact us at: Email: support@lgcies.com Your notice should include: • your name and contact information • identification of the copyrighted work or protected material • identification of the allegedly infringing content • a statement that you have a good-faith belief that the use is unauthorized • a statement that the information in your notice is accurate • your physical or electronic signature We may remove or restrict access to allegedly infringing content and may terminate accounts of repeat infringers. ________________________________________ 26. Termination You may stop using the service at any time. We may suspend, restrict, or terminate your access at any time if we believe you violated these Terms, created risk, failed to pay, misused the service, or caused harm to Lgcies, users, or third parties. After termination, certain provisions of these Terms will continue, including provisions related to data use, licenses, intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and any obligations that by their nature should survive. ________________________________________ 27. Data Deletion and Retention You may request deletion of your account or certain User Content by contacting us at support@lgcies.com or using available account tools. Deletion may not be immediate. We may retain information where necessary to: • provide the service • maintain backups • comply with legal obligations • resolve disputes • enforce agreements • prevent fraud, abuse, or misuse • maintain business records • protect rights, safety, and security • use aggregated, anonymized, or de-identified data Deleted content may remain in backups or logs for a limited period before being removed through ordinary retention cycles. ________________________________________ 28. Business Transfers If Lgcies, LLC. is involved in a merger, acquisition, financing, reorganization, sale of assets, bankruptcy, or similar transaction, User Content and related data may be transferred, disclosed, or assigned as part of that transaction. By using the service, you consent to such transfer, subject to applicable law. ________________________________________ 29. Governing Law These Terms are governed by the laws of the state of Florida in the United States of America, without regard to conflict-of-law principles. ________________________________________ 30. Dispute Resolution Before filing a legal claim, you agree to first contact us at support@lgcies.com and attempt to resolve the dispute informally. We will attempt to resolve the dispute by contacting you through the email address associated with your account. If the dispute cannot be resolved informally within 60 days, you and Lgcies agree that any dispute, claim, or controversy arising out of or relating to these Terms or the service will be resolved through binding, individual arbitration rather than in court, except as set out below. A. Arbitration Procedures The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. The arbitration will take place in Palm Beach County, Florida, or, at your election, may be conducted by telephone, video conference, or based on written submissions in lieu of an in-person hearing. The arbitrator, and not any court, will have authority to resolve any dispute relating to the interpretation, applicability, or enforceability of this arbitration agreement. B. Fees Payment of filing, administration, and arbitrator fees will be governed by the AAA's Consumer Arbitration Rules, which may reduce or waive certain fees for consumers. We will not seek to recover our attorneys' fees or costs from you in arbitration unless the arbitrator determines your claim was frivolous. C. No Class Actions You agree to bring any claim on an individual basis only, and not as part of a class action, collective action, consolidated action, or representative proceeding, to the fullest extent allowed by law. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a class or representative proceeding. D. Small Claims Court Option Either party may instead bring an individual claim in small claims court if the claim qualifies for that court's jurisdiction, in lieu of arbitration. E. Right to Opt Out You may opt out of this arbitration agreement by sending written notice to support@lgcies.com within 30 days of the date you first agree to these Terms. Your notice must include your name, the email address associated with your account, and a clear statement that you wish to opt out of arbitration. If you opt out, disputes will instead be resolved exclusively in the state or federal courts located in Palm Beach County, Florida, and the class-action waiver in subsection (C) will continue to apply to the fullest extent allowed by law. F. Severability If any part of this arbitration agreement is found unenforceable, the remainder will continue to apply, except that if the class-action waiver in subsection (C) is found unenforceable, this entire arbitration agreement will be null and void and the dispute will instead proceed in the courts described in subsection (E). ________________________________________ 31. Changes to These Terms We may update these Terms from time to time. When we make material changes, we may provide notice by posting the updated Terms on lgcies.com, sending an email, displaying an in-app notice, or using another reasonable method. Your continued use of the service after updated Terms become effective means you accept the updated Terms.
